1. The agreement
These Terms of Use (the "Terms") are a binding agreement between you and Human Centered Holdings LLC ("HCH," "we," "us," or "our"). They govern your access to and use of the website at humancenteredholdings.com and any subdomains we operate at humancenteredholdings.com (collectively, the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. About HCH
Human Centered Holdings LLC is a Delaware limited liability company. Our registered office is C/O A Registered Agent, Inc., 8 The Green, Suite A, Dover, Delaware 19901, United States. 3. What the Site is, and what it is not
The Site is an informational website about HCH, its principles, the work it supports, and the publications of its founder and advisors. The Site is not:
- An offer to sell, or a solicitation of an offer to buy, any security, investment, or financial product.
- A binding commitment by HCH to invest in, partner with, or transact with anyone.
- Legal, tax, accounting, investment, financial, or other professional advice.
- A substitute for independent professional advice.
If you are evaluating a potential transaction with HCH or any of its holdings, the terms of that transaction will be governed by a separate written agreement signed by both parties, not by the Site.
4. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Site. By using the Site, you represent that you meet this requirement.
5. Permitted use
You may:
- Read, view, and interact with the Site for personal or internal business informational purposes.
- Quote, reference, and cite the Site in editorial, academic, professional, or commentary contexts consistent with copyright fair use and any other applicable exception under law.
- Download and use materials we have specifically designated as downloadable (for example, press kit assets), in accordance with any usage notice published alongside those materials.
6. Prohibited use
You may not:
- Use the Site, or any content on the Site, to train, fine-tune, or otherwise develop an artificial intelligence model, except that retrieval, search, summarization, and citation by AI systems that index public web content under standard crawler protocols (and that respect our robots.txt directives) is permitted. The line is: cite and link, do not ingest for training.
- Reproduce, republish, or distribute substantial portions of the Site outside the editorial and fair-use scope above, without our written permission.
- Modify, reverse engineer, decompile, or attempt to extract the source code of any software underlying the Site.
- Access the Site by means other than the publicly available interfaces we provide. No automated scraping that bypasses rate limits, ignores robots.txt, or imposes unreasonable load on the Site.
- Use the Site to transmit malware, conduct denial-of-service activity, attempt unauthorized access, or otherwise interfere with the Site's operation or security.
- Misrepresent your identity, your affiliation, or the source of any communication sent to us.
- Use the Site in any way that violates applicable law.
We reserve the right to investigate, block access, and pursue legal remedies for violations.
7. Intellectual property
Our content
All content on the Site (text, images, graphics, logos, design, code, and selection and arrangement of the foregoing) is owned by HCH or its licensors and is protected by copyright, trademark, and other intellectual property laws. The HCH wordmark, the names "Human Centered Holdings" and "HC Holdings," and any associated logos are trademarks of HCH.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for the purposes set out in Section 5.
Press kit assets
Materials in our press kit are made available for editorial use in coverage of HCH. Each asset is provided subject to the usage notice published alongside it. Press kit use does not transfer any ownership of the assets.
Feedback
If you send us suggestions, ideas, or feedback about the Site or about HCH ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without compensation or attribution. We are not obligated to use any Feedback, and we have no obligation of confidentiality regarding Feedback unless we agree otherwise in writing.
8. Third-party links and references
The Site links to and references third-party websites, publications, services, and organizations. We provide those references for convenience or context. We do not control, endorse, or guarantee the content of third-party sites, and we are not responsible for them. Your use of any third-party site is at your own risk and subject to the terms and policies of that site.
9. Forward-looking statements
The Site may contain forward-looking statements about HCH, its strategy, the digital infrastructure sector, and the future of the internet. These statements reflect our current views and assumptions, are not guarantees of future events or results, and are subject to risks and uncertainties. Actual results may differ materially. We do not undertake to update forward-looking statements, except as required by law.
10. No professional advice
Content on the Site, including content in the Journal, is published for general informational and educational purposes. It is not legal, tax, accounting, financial, investment, or other professional advice. You should consult qualified professionals before acting on any information you find on the Site. We disclaim any responsibility for actions taken in reliance on Site content without independent professional advice.
11. No offer of securities
Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, investment interest, or financial product, in any jurisdiction in which such offer or solicitation would be unlawful. Any actual offer of securities by HCH or any of its affiliates will be made only by means of definitive offering documents and only to qualified persons in compliance with applicable law.
12. Privacy
Your use of the Site is also governed by our Privacy Policy at /legal/privacy/, which is incorporated into these Terms by reference.
13. Availability and changes to the Site
We do our best to keep the Site available, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Site or any part of it.
14. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.
WITHOUT LIMITING THE FOREGOING, HCH MAKES NO WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF MALICIOUS CODE; THAT ANY DEFECTS WILL BE CORRECTED; OR THAT INFORMATION ON THE SITE WILL BE COMPLETE, CURRENT, OR ACCURATE.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the maximum extent permitted by law.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- HCH, its members, managers, officers, employees, agents, advisors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising out of or relating to your use of the Site, even if advised of the possibility of such damages.
- HCH's aggregate liability arising out of or relating to these Terms or your use of the Site will not exceed one hundred US dollars (USD $100).
- These limitations apply regardless of the legal theory on which the claim is based (contract, tort, statute, or otherwise), and regardless of whether HCH has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless HCH, its members, managers, officers, employees, agents, advisors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Site in violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) your Feedback or any other content you submit to us.
17. Governing law
These Terms, and any dispute arising out of or related to them or to your use of the Site, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. Dispute resolution and arbitration
Informal resolution first
Before filing a formal claim, you agree to contact us at legal@humancenteredholdings.com and describe the dispute in writing. We will attempt in good faith to resolve the dispute through informal discussions for at least 60 days from the date we receive your notice. Many disputes can be resolved at this stage.
Binding arbitration
If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site will be resolved by final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures (or, where the amount in controversy is less than US $250,000, its Streamlined Arbitration Rules and Procedures). The arbitration will be conducted by a single arbitrator. The seat and venue of arbitration will be Wilmington, Delaware. The language of the arbitration will be English. Judgment on the award may be entered in any court of competent jurisdiction.
The arbitrator, and not any federal, state, or local court, has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.
Class action waiver
You and HCH each agree that any arbitration or proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If a court or arbitrator decides that this class action waiver is unenforceable as to any claim, that claim will be severed and resolved in court, and the remaining claims will proceed in arbitration.
Exceptions
Either party may bring an action in court solely to:
- Seek injunctive or other equitable relief to protect its intellectual property or confidential information; or
- File a small-claims action in a court of competent jurisdiction.
30-day opt-out
You may opt out of this arbitration agreement and class action waiver by sending written notice to legal@humancenteredholdings.com within 30 days of your first use of the Site. The notice must include your name, postal address, and a clear statement that you opt out. If you opt out, the rest of these Terms still apply.
19. Termination
We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. Upon termination, all provisions that by their nature should survive will survive, including ownership provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
20. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top and post the new version on this page. For material changes, we will post a notice on the Site for at least 30 days before the change becomes effective. Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms. If you do not accept the updated Terms, your only recourse is to stop using the Site.
21. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and HCH regarding the Site, and supersede any prior or contemporaneous agreements, communications, and proposals between you and HCH on the subject.
- Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other.
- Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely. Any prohibited assignment is void.
- Notices. We may give you notice by email (if you have provided an email address) or by posting a notice on the Site. You may give us notice in writing to the addresses below.
- No agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and HCH.
- Force majeure. Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or utility failures, or epidemics.
- Headings. Headings are for convenience only and do not affect the interpretation of these Terms.
